The European Commission has formally accused US private equity firm KKR of providing misleading information during its review of the company’s €22 billion acquisition of Telecom Italia’s fixed-line network.
The Commission’s action concerns information provided during the regulatory review of the transaction in 2024. The investigation followed complaints from rival telecommunications operators about access conditions and pricing.
The Commission has issued a formal statement of objections, giving KKR an opportunity to respond to the allegations. If the alleged infringement is established, the company could face a fine of up to 1% of its global revenue.
KKR has denied misrepresenting information and said it intends to challenge the allegations while cooperating with the regulator.
The case highlights the importance of accurate disclosures during merger reviews and the role of regulatory oversight in protecting competition and market integrity.
